Account Termination Agreement

Updated and Effective as of 14 March, 2023

These terms constitute an agreement between you (being the user) and the relevant Shopline entity with which you have entered into the SHOPLINE Payments Terms and User Agreements (“Payment Terms”). Before terminating your SHOPLINE Payments account, you acknowledge that you have fully reviewed and understood the following terms by which you agree to be bound:

 

As a gentle reminder, terminating your SHOPLINE Payments account will result in cessation of our provision of SHOPLINE Payments services (“Services”) to you. Upon completion of termination, your personal information will be deleted, following which such information cannot be retrieved or accessed, or anonymized. You understand and acknowledge that, in accordance with the relevant laws and regulations or as agreed otherwise between the parties, we may retain your personal information to the extent necessary to achieve the purposes stipulated by law or under such agreement.

1. If you wish to continue to terminate your SHOPLINE Payments account, your account must meet the following conditions:

(1)the account has no outstanding arrears;

(2)the account has no incomplete transactions;

(3)the account has no dispute, chargeback or refund requested, including any complaints filed or received;

(4)the account has no funds in transit;

(5)the account is in normal use without any records of restriction.

2. During the Account Cancellation Freeze Period (as defined hereinafter), if your account is involved in any disputes, including but not limited to complaints, reporting, litigation, arbitration, or investigation by relevant authorities, we reserve the right to suspend or cancel the termination of your account without your prior consent.

3. Please back up all information and data relating to the Services before terminating your SHOPLINE Payments account. After initiating the termination of your SHOPLINE Payments account, your account will be subject to a 180-day freezing period (“Account Cancellation Freeze Period”) during which your account will be frozen and you can no longer use the Services. After the expiry of the Account Cancellation Freeze Period, provided that the conditions stated in paragraph 1 above are confirmed by us as being satisfied, we will process the account termination.

Upon completion of termination, you will no longer be able to access your SHOPLINE Payments account and any historical content or information under such account (even if you register and re-activate the Services using the same email), including but not limited to:

 

(1)Business or personal data and historical information under your SHOPLINE Payments account (including but not limited to order information, statistical data, billing information, sub-accounts, withdrawal records, etc.);

 

(2)All records of your SHOPLINE Payments account. You will not be able to log in or use the Services, and any coupons, credits and other benefits you have obtained will be deemed to be forfeited and no longer be used. You understand and agree that we cannot assist you in restoring the aforementioned records.

4. Termination of the Services shall not affect, reduce or exempt any rights or obligations. accrued prior to such termination under the Payment Terms.

 

5. Your SHOPLINE Payments account permissions are determined by the store owner. If the administrator’s account has been set with the authority to terminate the account, the administrator’s action to terminate the account would be deemed to have been approved by the store owner.

 

6. Governing Law and Dispute Resolution provision under the Payment Terms shall apply, mutatis mutandis.
